1. Introduction

These Terms of Use ("Terms") govern access to and use of the SURE App platform ("Platform"), operated by Sure Applications (Pty) Ltd ("SURE", "Company", "we", "us", or "our").

The Platform is a digital ecosystem enabling Users to access and procure services; purchase and sell goods; advertise and promote offerings; and engage in commercial and non-commercial interactions.

By accessing or using the Platform, you agree to be legally bound by these Terms.

2. Definitions

User — includes consumers, service providers, sellers, business users, and representatives.

Service Provider — a User offering services via the Platform.

Seller — a User offering goods or products via the Platform.

Content — all text, images, data, listings, advertisements, or material uploaded to the Platform.

Transaction — any agreement concluded between Users through the Platform.

3. Nature of the Platform

3.1 The Platform is a technology intermediary.

3.2 SURE does not own or control goods or services listed on the Platform, and does not act as a party to transactions concluded between Users (unless expressly stated).

3.3 SURE provides visibility, advertising, and transactional infrastructure.

4. Eligibility and Registration

4.1 Users must be at least 18 years of age or legally authorised representatives of a juristic entity.

4.2 Users agree to provide accurate, up-to-date information and to maintain the confidentiality of login credentials.

4.3 SURE reserves the right to approve or reject registrations at its sole discretion, and to suspend or terminate accounts in accordance with these Terms.

5. User Obligations

Users agree to use the Platform lawfully and not engage in fraud, misrepresentation or unlawful trade. Users must comply with all applicable laws, including the Electronic Communications and Transactions Act, 25 of 2002; the Consumer Protection Act, 68 of 2008; and the Protection of Personal Information Act, 4 of 2013.

6. Service Provider Terms

6.1 Service Providers must deliver services as advertised, maintain professional standards, and hold any qualifications, licences or registrations required by South African law for the trade in question.

6.2 SURE does not guarantee the quality of services delivered by Service Providers or any performance outcomes.

6.3 Service Providers indemnify SURE against claims arising from service delivery, save where caused by SURE's gross negligence or wilful misconduct.

7. Seller Terms

7.1 Sellers must ensure product accuracy in listings, photographs and descriptions, and comply with all applicable consumer protection laws.

7.2 Sellers are responsible for delivery of products, returns, refunds (subject to clause 9), exchanges, warranties, representations and after-sales support.

7.3 SURE is not liable for defective goods, delivery failures or misrepresentations made by any User.

8. Fees and Payment Model

8.1 Users may access and use the Platform free of charge, save for the verification authorisation referred to in clause 8.5.

8.2 Service Provider and Seller Registration

8.2.1 Service Providers shall pay a once-off registration fee of ZAR 99.00 (inclusive of VAT where applicable) upon successful completion of KYC verification and account activation. This fee is non-recurring.

8.2.3 No monthly subscription fee is payable by Service Providers or Sellers.

8.3 Commissions

8.3.1 SURE shall deduct a commission of 10% on the value of each completed service callout (payable by the Service Provider), and 10% on the value of each completed product order excluding any delivery fees (payable by the Seller).

8.3.2 Commissions are calculated and deducted automatically at the point of customer payment, prior to the disbursement of net proceeds to the Service Provider's or Seller's wallet on the Platform.

8.4 Payment Method

8.4.1 All Platform fees, commissions and transactions are processed exclusively through Paystack as the authorised payment service provider. SURE does not process card data directly and does not accept cash payments.

8.4.2 Failure of a customer's payment in respect of a completed service or product order shall result in immediate suspension of the customer's account pending dispute resolution under clause 9.

8.5 User Verification

8.5.1 A nominal authorisation hold of ZAR 1.00 may be placed against a User's payment card at registration to confirm card validity. The hold is reversed automatically by the issuing institution, typically within seven (7) to ten (10) business days. No separate registration fee is payable by Users.

8.6 Changes to Fees and Commissions

8.6.1 SURE reserves the right to amend the registration fee or commission percentages upon thirty (30) days' written notice to affected Users via the Platform or registered email address.

8.6.2 Amendments shall not apply retroactively to transactions already in flight at the time of notice.

9. Refund and Cancellation Policy

9.1 Customer Cancellations

9.1.1 A customer may cancel a service request at any time before a Service Provider has been dispatched, at no charge.

9.1.2 Cancellations after dispatch but before commencement of service may incur a callout fee at SURE's discretion.

9.1.3 Cancellations of product orders are governed by the relevant Seller's individual cancellation policy, displayed at the point of purchase, save that customers retain all statutory cooling-off rights under the Consumer Protection Act, 68 of 2008.

9.2 Refunds (Services and Products)

9.2.1 Customers are entitled to a full refund where: (a) a service or product was not delivered; (b) a product is materially defective at the time of delivery; (c) a service was substantively not performed as advertised.

9.2.2 Refund requests must be submitted to support@suretechapp.com within seven (7) days of the transaction date.

9.2.3 SURE shall investigate and respond to refund requests within forty-eight (48) hours of receipt and shall process approved refunds within five (5) business days.

9.2.4 Refunds are issued via the original payment method, less any non-recoverable transaction fees levied by the payment service provider.

9.3 Registration Fee Refund

9.3.1 The once-off registration fee paid by Service Providers and Sellers in terms of clauses 8.2.1 and 8.2.2 is non-refundable once KYC verification has been approved and the account activated, save for the circumstances set out below.

9.3.2 The registration fee shall be refunded in full within seven (7) business days where verification fails due to a SURE technical error, system fault, or operational issue not attributable to the User.

9.3.3 Where SURE terminates the account within fourteen (14) days of activation for reasons unrelated to a breach of these Terms by the User, the registration fee shall be refunded on a pro-rata basis.

9.3.4 Voluntary deactivation of the account by the Service Provider or Seller does not entitle them to a refund of the registration fee.

9.4 Service Provider and Seller Recourse

9.4.1 Service Providers shall be paid in full upon completion of a verified service request, regardless of any subsequent customer payment failure.

9.4.2 In the event of a customer chargeback or upheld refund claim, SURE may recover the disputed amount from the relevant Service Provider or Seller where the claim is upheld in accordance with these Terms.

10. Content and Intellectual Property

10.1 Users retain ownership of their Content.

10.2 By uploading Content, Users grant SURE a worldwide, royalty-free, non-exclusive licence to use, display and distribute the Content for the purpose of operating and promoting the Platform.

10.3 All Platform intellectual property remains the property of SURE.

11. Prohibited Conduct

Users may not post illegal or harmful content, violate intellectual property rights, use the Platform for unlawful activities, or circumvent the Platform's payment systems to evade fees.

12. Privacy and Data Protection

12.1 SURE processes personal data in accordance with POPIA, the Electronic Communications and Transactions Act, 25 of 2002, and our Privacy Policy at /privacy.

12.2 Users consent to the collection of personal data necessary for account creation, transaction processing and Platform operation, and to processing for operational, security, fraud-prevention and customer-support purposes.

12.3 SURE retains user account data for the duration of the active account and for five (5) years thereafter, in compliance with section 23(1) of the Financial Intelligence Centre Act, 38 of 2001. Marketing data is deleted within thirty (30) days of consent withdrawal.

12.4 Users have the right to access, correct or request deletion of their personal data, subject to SURE's regulatory retention obligations. Requests may be submitted to support@suretechapp.com. SURE's appointed Information Officer is Mduduzi Brandon Tshabangu.

13. Disclaimers

13.1 The Platform is provided "as is".

13.2 SURE makes no warranties regarding accuracy of information published by Users, availability of the Platform, or reliability of services or products listed by third parties.

14. Limitation of Liability

To the maximum extent permitted by law, SURE shall not be liable for indirect or consequential damages, loss of profits, or disputes arising directly between Users in respect of Transactions, save as expressly provided in clause 9 and clause 17.

15. Indemnity

Users indemnify SURE against claims arising from their use of the Platform and any breach of these Terms by the User.

16. Suspension and Termination

SURE may, at its sole discretion, suspend any User account, remove any Content, or terminate any User's access to the Platform.

17. Dispute Resolution

17.1 The parties agree to first attempt resolution of any dispute through mediation.

17.2 Failing mediation, disputes shall be referred to arbitration.

17.3 Arbitration seat: Pretoria, South Africa. Rules: those of the Arbitration Foundation of Southern Africa (AFSA), or equivalent.

18. Governing Law

These Terms are governed by the laws of the Republic of South Africa.

19. Amendments

SURE may amend these Terms from time to time. Material amendments will be communicated to Users via the Platform or registered email address. Continued use of the Platform following such notice constitutes acceptance of the amended Terms.

20. Force Majeure

SURE shall not be liable for any failure or delay in performance caused by events beyond its reasonable control.

21. General Provisions

Entire Agreement. These Terms (together with the Privacy Policy and any document incorporated by reference) constitute the entire agreement between the parties.

Severability. If any provision is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

No Waiver. No failure or delay by SURE in exercising any right shall operate as a waiver of that right.

Assignment. Users may not assign their rights or obligations under these Terms without SURE's prior written consent.

Notices. All notices must be in writing and sent to the email addresses on file.

Acceptance of Terms

By creating an account on or using the Platform, the User confirms that they have read, understood, and agreed to be bound by these Terms of Use. Acceptance is recorded electronically at the point of account registration in accordance with section 13 of the Electronic Communications and Transactions Act, 25 of 2002.
